Paradigm Counsel is seeking a Corporate Paralegal with 2+ years of corporate experience representing emerging growth technology companies through all stages of the corporate life cycle. Essential Duties and Responsibilities:
Our Corporate Paralegals work as a group to provide legal support to our corporate legal team and clients. Essential duties and responsibilities include the following:
Formation and Entity Maintenance:
- Prepare formation/incorporation and organizational documents for corporations, LLCs and limited partnerships.
- Prepare founder stock agreements.
- Maintain minute books.
- Maintain corporate capitalization records, stock certificates, and ledgers (including electronic platforms such as Carta).
- Confirm filings of 83(b) Elections by stockholders.
- Draft stock transfer documents and assist with stock transfers.
- Prepare and file private company securities filings with the SEC and state regulatory bodies.
Venture Capital Financings:
- Set up virtual data rooms and assist with due diligence responses.
- Prepare closing checklists and assist with closings.
- Prepare signature packets and collect signatures from various corporate constituents.
- File restated charter documents with Secretary of State.
- Conduct blue sky research and prepare memos for attorney review.
- Assist with legal opinion backup reviews.
- Create and distribute closing volumes.
Administrative Duties:
- Maintain compliance with all firm policies, procedures, and standards.
- Enter time reports consistently and timely in accordance with firm policies.
- Attend mandatory trainings and firm meetings as required.
Education and Work Experience Requirements:
- Bachelor’s degree or Paralegal Certificate.
- Minimum 2 years of corporate paralegal experience, including work with emerging technology companies and venture capital financings.
- Exceptional verbal and written communication skills with a client-service mindset.
- Proven ability to thrive under pressure, manage deadlines, and stay positive.
- Highly organized with sharp attention to detail and strong proofreading skills.
- Comfortable working independently and taking projects through to completion.
Compensation & Location
This is a full-time, fully remote position. Compensation will be based on qualifications, experience, education, certifications and location. We offer a competitive salary and benefits package.
