Josh Rosenfeld has over 20 years of experience as a corporate lawyer, focusing on advising emerging growth and mature companies and venture investors regarding general business matters and corporate transactions, including:
Josh is based in Los Angeles, and has substantial experience across multiple industries and sectors, including cleantech, software, fintech, eCommerce, consumer Internet, digital media, games, networking and communications infrastructure, semiconductor, retail, consumer goods and consulting services. He has represented hundreds of venture-backed and private-equity-backed companies of all sizes, as well as VC and private equity firms, corporate investors, strategic acquirors, technology incubators, startup founders, public companies and capital markets underwriters.
For more than a decade before joining Paradigm Counsel, Josh practiced corporate and securities law as a partner at Strategic Law Partners, LLP, a boutique law firm in Los Angeles.
Prior to Strategic Law Partners, Josh was General Counsel and Corporate Secretary of Bebo, Inc., a privately held, venture-backed consumer Internet company based in San Francisco, which was the third-largest social networking site in the U.S. and worldwide at the time. As an executive officer, Josh managed Bebo’s company-wide legal function in the U.S. and internationally; advised Bebo’s Board members, executive management, and all internal departments; and managed Bebo’s acquisition by AOL, then a subsidiary of Time Warner, for $850 million in cash.
For eight years before becoming Bebo’s GC, Josh was a corporate and securities attorney in the Silicon Valley and San Francisco offices of DLA Piper, one of the world’s largest law firms. In addition to concentrating on venture capital financings and M&A, Josh focused on public company SEC reporting, Sarbanes-Oxley compliance, and capital markets transactions.
Josh also previously taught a course on advising startup companies at USC Gould School of Law.
Josh received his JD from UCLA School of Law and has an undergraduate degree in Political Science, with a minor in Public Policy, from UC Berkeley. He is admitted to practice law in the State of California.
